Terms of Service
Effective date: October 01, 2026

1. About These Terms
These Terms of Service (“Terms”) govern access to GhostSOC LLC’s website and, when expressly incorporated into an accepted proposal, order, or service agreement, the services we provide.
“GhostSOC,” “we,” “us,” and “our” refer to Bernard Galloway, doing business as GhostSOC. “You” and “your” refer to the website user or customer.
Where your agreement is required, we will request acceptance through an order, electronic confirmation, or signed agreement. If you do not agree to these Terms, do not purchase or use our services.
You must be at least 18 years old and legally able to enter into a contract to purchase services. If acting for an organization, you represent that you have authority to bind it.
2. Our Services
GhostSOC offers technology services that may include:
Spreadsheet automation, data preparation, and recurring reporting.
Custom scripts, software tools, and workflow integrations.
Retrieval-augmented generation (RAG) systems and AI knowledge assistants.
Data analysis and technology consulting.
Security-related development and automation, where expressly agreed.
Website descriptions illustrate available services. The specific scope, deliverables, price, schedule, and responsibilities for your project will be established in an accepted written proposal, statement of work, or service agreement (“Project Agreement”).
Submitting an inquiry does not create a service contract or require either party to proceed.
3. Project Agreements and Changes
A Project Agreement will identify the services you are purchasing and any applicable assumptions, exclusions, acceptance criteria, support period, and payment terms.
If a Project Agreement conflicts with these Terms, the Project Agreement controls for that project.
Requests outside the agreed scope—including additional integrations, features, data sources, revisions, or deployment environments—may require a written change agreement and additional fees. We will obtain approval before performing chargeable work outside the agreed scope.
Delivery dates depend on the assumptions and customer responsibilities stated in the Project Agreement. We will communicate material delays and proposed schedule changes.
4. Your Responsibilities
You agree to provide accurate requirements, authorized access, necessary materials, and timely feedback.
You are responsible for:
Having permission to provide all data, documents, software, and systems used in the project.
Maintaining appropriate backups before testing or deploying changes.
Reviewing and approving outputs before operational use.
Providing and maintaining required third-party accounts and licenses.
Protecting your credentials and notifying us of suspected unauthorized access.
Ensuring your intended use complies with applicable law.
Delays or changes in these inputs may affect delivery dates and costs. Any additional charges require agreement.
5. Fees and Payment
Fees, deposits, payment milestones, currency, applicable taxes, and third-party expenses will be disclosed in the Project Agreement or checkout before purchase.
A deposit is credited toward the project price. Any nonrefundable amount must be expressly identified and is subject to applicable law.
Recurring services require separate agreement describing the billing frequency, renewal terms, and cancellation method. Purchasing a one-time project does not enroll you in a subscription.
For overdue, undisputed invoices, we may suspend affected work after written notice and a reasonable opportunity to resolve payment. You remain responsible for undisputed amounts already due.
6. Cancellations and Refunds
You may request cancellation by contacting bernardgalloway@ghostsocllc.com.
Unless a Project Agreement provides otherwise, cancellation charges are limited to work reasonably performed and approved, noncancelable expenses incurred before cancellation, up to the agreed project price. Any prepaid balance exceeding those amounts will be refunded.
If we cancel a project without customer breach, we will refund prepaid fees for services not provided and address completed work and handover in writing.
If delivered work does not meet the agreed specifications, notify us with sufficient detail so we can assess and address the issue under the Project Agreement and applicable law.
Nothing in these Terms limits mandatory cancellation, refund, or consumer rights.
7. Testing, Acceptance, and Support
The Project Agreement will describe how deliverables are tested and accepted, including any review period.
Report material deviations from the agreed specifications during that period. We will address confirmed issues within scope without an additional development charge.
Maintenance, hosting, monitoring, compatibility updates, new features, and ongoing technical support are included only when expressly stated in the Project Agreement.
8. AI and Automation Limitations
AI systems can produce inaccurate, incomplete, outdated, or unsupported outputs. Retrieval from customer documents does not guarantee that every response is correct or that every relevant source will be retrieved.
You must arrange appropriate human review before relying on AI outputs or automated actions, particularly for decisions affecting finances, employment, health, legal rights, or security.
Automation depends on data quality, system configuration, permissions, and third-party availability. We do not guarantee specific savings, revenue, detection rates, or error-free operation unless a measurable commitment is expressly included in the Project Agreement.
Security-related services do not guarantee that all vulnerabilities, threats, or incidents will be identified or prevented. Continuous monitoring, incident response, and compliance certification are included only if expressly contracted.
9. Customer Materials and Confidentiality
You retain ownership of materials you provide. You grant us permission to use those materials only as reasonably necessary to perform the agreed services.
Each party will protect the other’s nonpublic business information using reasonable care and disclose it only to people or service providers who need it for the project and are subject to appropriate confidentiality obligations.
These obligations do not apply to information that is publicly available without breach, already lawfully known, independently developed, or lawfully received from another source. Disclosure required by law is permitted, with advance notice where legally allowed.
Do not submit passwords, regulated personal data, classified information, or other restricted materials through general website forms. Projects involving sensitive or regulated information require an agreed handling process before transfer.
10. Privacy and Data Processing
Our Privacy Policy separately explains how we handle personal information collected through the website.
Project-specific data processing, retention, deletion, hosting, and security requirements must be agreed before processing begins. Where required, the parties will enter into a separate data processing agreement.
Any use of external AI providers or cloud services for customer materials must be disclosed and agreed as part of the project. A solution is local-only or offline only when expressly specified.
We will not use confidential customer materials to train general-purpose AI models without separate, explicit permission.
11. Intellectual Property
GhostSOC or its licensors retain rights in the website’s branding, text, designs, and other protected content. You may not reproduce or commercially exploit that content without permission, except as permitted by law.
Ownership and licensing of project deliverables, source code, documentation, and reusable components will be specified in the Project Agreement.
Unless otherwise agreed in writing, after full payment you receive a nonexclusive, perpetual license to use and modify deliverables created for you for your internal business purposes. GhostSOC retains ownership of its pre-existing tools, reusable components, and underlying methods.
Third-party and open-source components remain subject to their respective licenses. Any transfer of copyright ownership must be expressly agreed in writing.
We will obtain permission before publicly identifying you as a customer or publishing your confidential project results.
12. Acceptable Use
You must not use our website or services to:
Violate law or infringe another person’s rights.
Access systems or data without authorization.
Distribute malware, conduct fraud, or facilitate unlawful surveillance.
Interfere with website availability or bypass access controls.
Provide content you are not authorized to use or disclose.
Security testing requires written authorization defining the permitted systems and activities.
13. Third-Party Services
Our website and deliverables may use or link to third-party platforms, hosting providers, payment processors, software, or AI models.
Those providers have their own terms and privacy practices. Their availability, pricing, and functionality may change. We will identify material project dependencies known to us, but we do not control independent third-party services.
Changes requiring additional development will be handled through the agreed change process.
14. Warranties and Liability
We will perform contracted services with reasonable care and skill and in accordance with the Project Agreement.
Except for express commitments and warranties that cannot lawfully be excluded, website content and demonstrations are provided “as is” and “as available.” We do not promise uninterrupted website access.
To the extent permitted by law, neither party is liable for indirect or consequential losses, including lost profits or business opportunities.
For paid services, each party’s aggregate liability arising from a project is limited to the fees paid or payable under the affected Project Agreement.
These exclusions and limits do not apply to fraud, willful misconduct, gross negligence, your payment obligations, or liability that cannot lawfully be excluded or limited. Mandatory consumer rights remain unaffected.
15. Suspension and Termination
We may restrict website access or suspend affected services when reasonably necessary to address unlawful use, a material security risk, or a material breach of these Terms.
Where practicable, we will explain the reason and provide a reasonable opportunity to correct the breach.
Termination does not eliminate accrued payment obligations or provisions intended to continue, including confidentiality, intellectual property, and applicable liability provisions. Project handover and data return or deletion will follow the Project Agreement and applicable law.
16. Governing Law and Disputes
These Terms are governed by the laws of [STATE AND COUNTRY], without regard to conflict-of-law rules.
Before filing a claim, either party may contact the other to seek an informal resolution. This does not prevent urgent relief or restrict applicable filing deadlines.
Subject to mandatory legal rights, courts located in [COUNTY, STATE, COUNTRY] will have jurisdiction over disputes. Nothing in these Terms deprives consumers of protections or forums required by applicable law.
17. Updates and General Provisions
We may update these Terms and will show the revised effective date. Changes apply prospectively. Material changes to an existing paid engagement require agreement unless its Project Agreement expressly provides otherwise.
If a provision is unenforceable, the remaining provisions continue to apply. Failure to enforce a provision does not waive the right to enforce it later.
These Terms and the applicable Project Agreement constitute the agreement concerning their subject matter.
